Senior Consultant – Finance Division, Legal Services Department

 

The General Counsel and Legal Services Department (PGCL) provides legal services to the statutory organs of the African Development Bank (the “ADB” or the “Bank” and the African Development Fund (the “ADF” or the “Fund”) and advises on the administration, operations and financial activities of the Bank. PGCL also ensures that the Bank’s activities and operations are consistent with the constitutive documents and other legal instruments of the Bank, its policies, the relevant norms and principles of international and commercial law, and the best practices of international development banking. The main activities of the Finance Division’s (PGCL.3) are to provide legal services primarily to organisational units in the Finance Vice-Presidency including the Treasury, Financial Control, Financial Management and Resource Mobilization Departments, and other organisational units. It ensures that the Bank has at its disposal the best available legal expertise in the mobilization, investment and management of the financial resources of the Bank, in order to fulfill its mandate, in accordance with its constitutive instruments and the norms of international development banking is seeking a senior legal consultant who will work under the direct supervision of the Division Manager.

The consultant will be expected to :

  1. Review and advise on the legal documentation for the Bank’s borrowing, hedging and balance sheet optimization transactions ;
  2. Prepare templates for key Division transactions including but not limited to concessional donor loan agreements for the African Development Fund, trust fund arrangements, ISDA Master Agreement Schedules, and GMRA Annexes ;
  3. Review and revise policies and procedures of the Division and conduct related training sessions for new staff ;
  4. Advise on corporate and finance legal issues arising from the interpretation and application of the Bank’s Charter, policies and procedures, including the Financial Regulations of the Bank ;
  5. Conduct trainings on the Bank’s Charter as well as relevant regulations, policies and procedures of the Bank ;
  6. Prepare legal opinions on proposed financial transactions ;
  7. Advise on finance aspects of lending transactions, including the development of new lending products, as necessary; and
  8. Such other tasks as may be assigned by the Division Manager or the General Counsel.

The consultant should have the following qualifications :

  • At least a) a Master’s degree in law, or b) a first university degree plus a relevant combination of academic qualification in law (e.g. Juris Doctor (JD)) and admission to the Bar of (or diploma to practice law in) a member country of the Bank ;
  • At least 20 years of relevant professional experience with an established law firm or an international financial institution, with in-depth experience in major international financial transactions; including a minimum of 10+ years’ experience working and supporting legal departments in the Multilateral Development Bank (MDB) space ;
  • Previous work experience supporting the ADB’s legal, finance, corporate and advisory services in the mobilization, investment, management and replenishment of the financial resources of the Bank, through borrowings in the international capital markets, risk management products including derivatives and other hedging instruments, balance sheet optimization transactions, as well as the establishment of trust funds ;
  • Extensive knowledge of the African environment and development challenges ;
  • Excellent contacts in other MDBs in order to inquire about their practices and facilitate peer-group practice benchmarking ;
  • High-level skills in communication, analysis, conducting meetings and solving complex problems ;
  • Good written and oral skills in English and French and comfortable working in both languages; and
  • IT Competence in the use of standard software such as MSWord, Power Point and Excel.
