TERMS OF REFERENCE CO- GUARANTEE PLATFORM COORDINATOR
- Introduction
As a result of perceived high risks of investments across the continent and the lack of capacity for traditional lenders to provide risk mitigation products for projects, the African Development Bank Group (“AfDB”) in partnership with Africa Export-Import Bank (“Afreximbank”), African Trade Insurance Agency (“ATI”), GuarantCo and the Islamic Corporation for Insurance of Investment and Export Credit (“ICIEC”) created the Co-Guarantee Platform for Africa (“CGP” or the “Platform”) in 2018, an innovative and collaborative de-risking syndicate. In 2019, African Union’s Development Agency (“AUDA-NEPAD”) joined the CGP to serve the Platform’s infrastructure pipeline through the African Infrastructure Guarantee Mechanism (“AIGM”).
Operational since 2020, the Platform’s activities are required to deliver on its primary objective of increasing the provision of risk mitigation and hence financing for Africa. It has an active pipeline of projects and successfully hosted an inaugural innovative exchange webinar in July 2020. As founding member, the African Development Bank Group serves as the CGP secretariat and on behalf of the Co-Guarantee Platform participants (“Participants”) is seeking to procure an individual Consultant to lead the CGP Secretariat, with the primary role to support in finalizing the structure and administrative arrangements that will ensure the Platform’s continued success.
- Scope of work :
The services to be provided by the Consultant include, but not limited to the following :
- Ensure that the CGP Secretariat structure is formally established and staffed as appropriate if need be. This will require some degree of legal review of appropriate structures, that are intended to ensure a self-funded Guarantee Platform ;
- Facilitate the agreement and implementation of the CGP Business Plan that details the strategic direction and operational guidelines of the Platform ;
- Coordinate and lead weekly team meetings documenting minutes, next steps and action items, ensuring follow up and delivery by all Participants ;
- Provide advisory support on transactions, and map/track the project pipeline as well as update the Deal Tracking Report to facilitate financial close of transactions by CGPBenchmark and streamline risk mitigation products of the CGP Participants to establish a more coordinated Platform product offering to prospective clients ;
- Facilitate where possible the streamlining of risk mitigation documentation, this may require working closely with legal counsel, appointed by the Participants ;
- Design and provide training seminars for Participants, private sector and African governments, identifying issues and solutions to accelerate risk sharing agreements (e.g. Innovative Exchanges) ;
- Lead in the development and setting up of the CGP website as well as full brand identity (e.g. logo finalization, flyers, brochure design etc.) coordinate, organise and lead the coordination of marketing events in promotion of the CGP (e.g. at annual meetings or Africa Investment Forum) as well as propose a design or web-based tool to facilitate the deal tracking and updates by Participants or any other digital-based collaboration tools as needed ;
- Mobilize external funding for the operationalisation of the Platform and potentially serve as financial center for the Platform and its participants, managing financial resources, approved budgets and payments to third parties (e.g. website hosting, incoming administrative payments from partners) ;
- Ensure collaboration of CGP with institutional investors to identify areas of cooperation to scale up the use of risk mitigation instruments in support of Africa’s growth and development ;
- Keep abreast and update Participants on comparative advantages, new trends, instruments and innovations in the guarantees and insurance market that can be adopted to advance the activities of the Platform ;
- Perform other tasks as required by Management in support of the Platform’s success.
3. Qualifications and Experience :
- At least a Masters’ degree in finance, economics or business administration with at least 15 years of technical/analytical and project management experience in international development ;
- Experience and firm understanding of risk mitigation instruments, including political risk guarantees, credit insurance, and other risk sharing arrangements and their application to project finance; financial intermediation; corporate financing; sovereign financing; lines of credit; trade finance, and derivative transactions ;
- General knowledge of legal and regulatory matters related to risk mitigation instruments including treatment by Paris Club and the major rating agency methodologies ;
- Excellent communication and presentation skills, both written and oral ;
- Strong network of professional contacts in the private sector project finance space in Africa which can be linked to CGP ;
- Strong client orientation with ability to work with senior officials in the Bank, Participants, the government, and private sector ;
- Ability to work in a multicultural environment; take initiative and drive results, strong EQ skills and commitment to being a team player ;
- Prior experience with donor coordination, development finance experience, relationship management and co-financing is desirable ;
- Must be fluent in English with strong working knowledge of French or vice versa.
- Duration of Assignment :
The assignment will commence at completion of the selection process and upon signing of a contract. The contract with the selected Consultant will last for a period of six (6) months with the possibility of further renewal, subject to satisfactory performance and relevant rules. The duty station will be the AfDB Headquarters in Abidjan, Cote d’Ivoire and may require travel outside of Cote d’Ivoire when necessary.1 The role is housed within the Syndication, Co-Financing, and Client Solutions Department (FIST) with work across the two divisions. A detailed work programme will be agreed with the Consultant upon commencement of the assignment.
- Administration / Reporting :
The Consultant will be under the overall supervision of the Client Solutions Division Manager, and direct oversight of responsibilities and activities will be under the supervision of professional level staff within the divisions designated by management to the work of the Platform.
- Remuneration :
The Bank offers compensation strictly related to the consultant’s level of experience and area of expertise. The appointed Consultant will receive a lump-sum payment per working month in arrears. The Consultant will receive two paid days leave per working month, accrued at the receipt and approval of each month’s invoice from the consultant to the Manager, Clients Solutions Division.
- Exclusivity :
The appointment of the Consultant and the acceptance of such appointment will constitute an engagement of the Consultant to provide the Co-Guarantee Platform with the services referred to in the Scope of Work on an exclusive basis.
- Confidentiality & Non-Circumvention :
Any information provided by the Participants, lenders, project sponsors, or by any other source concerning any project or activities will be considered confidential and proprietary in nature and should not (except as required by law) be disclosed by the Consultant to any unauthorised third party.
